1. Purchase & sale
Subject to this Agreement, at Closing Buyer buys from Seller, and Seller sells to Buyer, the puppy described in this form (the “Puppy”), for the Purchase Price below. All sales under this Agreement are finalized in the State of Utah.
2. Purchase price; breeding rights; deposit; payment plan; care fees
(a) Purchase Price. Buyer pays Seller the agreed purchase price written on this form.
(b) Breeding rights; spay/neuter.
-
What breeding rights mean: With breeding rights, Buyer may breed the Puppy. Without breeding rights, Buyer must, at Buyer’s expense, have a licensed veterinarian spay or neuter the Puppy within 12 months of the Puppy’s date of birth and give Seller written proof within that same 12 months.
- If Buyer fails to provide that proof, or breeds (or allows breeding of) the Puppy without having acquired breeding rights, Seller may pursue all remedies available at law or in equity, including the liquidated-damages amounts below.
-
Unauthorized breeding — agreed liquidated damages (reasonable pre-estimate of damages, not a penalty):
- Amounts are due within 90 days after Seller’s written notice of breach. Seller may also seek injunctive and other remedies. No automatic fee-doubling.
(c) Deposit and final payment.
- Deposit is $500, applied toward the Purchase Price at Closing (Venmo, Apple Pay, cash, or another method Seller accepts).
- Deposit does not roll over to other litters or puppies.
- Deposit is non-refundable, except Seller refunds it if the breeding female does not conceive or does not produce enough puppies for Buyer’s reserved spot.
- If Buyer does not use a payment plan, remaining balance is due at Closing. After Closing, Buyer is solely responsible for all Puppy expenses.
(d) Payment plan (if elected; subject to Seller approval; aligned to utahdoodles.com/payment-plans):
- Applies only to the puppy Purchase Price (not training/add-ons unless separately agreed in writing).
- Larger down payment at pickup may reduce monthly amounts.
- After Deposit and any down payment, remaining balance is divided equally over 12 months from pickup. Payments due 1st–5th of each month.
- If pickup is within 10 days before the 1st, first installment is due the following month; otherwise due in the next 1st–5th window after pickup.
- Early payoff / extra payments OK with no prepayment penalty.
-
Late fees: $50 after the 5th; $100 after the 10th; $150 after the 15th.
- Buyer still owes the unpaid balance if Buyer rehomes, surrenders, or transfers the Puppy. Failure to pay may result in acceleration and remedies available at law/equity; repossession/recovery, if pursued, is subject to applicable Utah law. Seller does not authorize illegal self-help.
-
ID: two forms of identification + date of birth. SSN is not preferred. Personal information handled as required by law.
(e) Transportation. Travel costs for the Puppy (including flight nanny or other transport) are Buyer’s sole responsibility unless Seller agrees otherwise in a signed writing.
(f) Missed pickup / care fees. Buyer must pick up on the Closing Date. If Buyer fails to pick up, Buyer pays $50 per day for additional care, capped at 14 days. If Buyer has not picked up (or made other written arrangements Seller accepts) within 14 days after Closing, Seller may cancel the sale, retain the Deposit under the deposit rules, and rehome the Puppy. Accrued care fees remain due. No daily escalation after 72 hours.
3. Closing
Buyer and Seller close on a mutually agreed Closing Date (stated in this form or amended in a signed writing). Buyer must pick up on the Closing Date; failure triggers the missed-pickup care fees above. All sales are finalized in Utah.
4. Seller’s warranties at Closing
On the Closing Date, Seller represents that: (a) the Puppy will be in good health; and (b) the Puppy will have received necessary, age-appropriate vaccinations and deworming.
Buyer acknowledges Seller has made no promise or warranty that the Puppy will be non-shedding or non-allergenic, and that size, color, coat, and physical/behavioral traits are not predictable. Seller makes no warranty regarding those traits except as expressly stated in this Agreement.
5. 72-hour veterinary examination and return
- Within 72 hours after Buyer takes possession, Buyer may (at Buyer’s expense) have the Puppy examined by a licensed veterinarian.
- If that vet diagnoses the Puppy as sick, in poor health, or having a condition that will seriously shorten or alter quality of life (excluding minor issues such as fleas, ticks, or worms), and Buyer gives Seller notice within that 72-hour window wanting to return the Puppy, Buyer must deliver the Puppy to Seller within 24 hours after that notice.
- Subject to Seller’s second-opinion process, Seller will then either refund amounts paid toward the Purchase Price (and cancel any remaining payment-plan balance) or replace the Puppy with a different puppy from a future litter, as Seller elects.
-
Seller’s second-opinion vet: On return, Seller may have a licensed veterinarian of Seller’s choice examine the Puppy. If that vet does not confirm a qualifying condition, Seller may return the Puppy to Buyer and owes no refund (and may reinstate any payment plan). If Seller’s vet disagrees and Seller declines refund/replacement, Buyer pays return shipping/delivery costs to get the Puppy back to Buyer when applicable.
6. One-year health warranty — inherited life-threatening disease
- For one year after Closing, Seller warrants the Puppy will not have an inherited life-threatening disease.
- If a licensed vet diagnoses such a disease within that year, Buyer must within five (5) days of diagnosis: notify Seller; provide related veterinary records; and return the Puppy as Seller directs.
- After receiving notice, records, and the Puppy, Seller may elect to provide a comparable replacement from Seller’s next available litter, or refund amounts paid toward the Purchase Price (and cancel remaining payment-plan balance), less shipping/handling Seller paid for return of the original Puppy.
- If Seller provides a replacement, Buyer chooses from the next available litter, pays any price difference if higher, and pays shipping/handling for the replacement.
- Same second-opinion vet process as the 72-hour section.
-
Warranty voids if Buyer abandons the Puppy or places it with a shelter, humane society, pound, mill, or pet store; gives or sells the Puppy without Seller’s prior written consent; fails to comply with this Agreement; or a licensed vet concludes injury, poor care/diet, or mistreatment contributed to or is the most likely cause of the condition. Voiding the Health Warranty does not erase any unpaid purchase-plan balance.
7. Disclaimer and limitation of liability
Except as expressly stated in this Agreement, no warranties—express, implied, statutory, or otherwise (including implied warranties of merchantability and fitness for a particular purpose)—apply to the sale of the Puppy. Seller is not liable under any theory for special, indirect, incidental, or consequential damages. Nothing in this section limits liability that cannot be limited under Utah law.
8. Indemnification
After Closing, Buyer will indemnify and hold Seller harmless from damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from claims by third parties based on the Puppy’s behavior after Closing.
9. Training program — Puppy+
If Buyer elects Puppy+ training on this form:
-
Length: None, 1 week, 2 week, 3 week, 4 week, or More (write-in).
-
Price: Discussed and agreed later by conversation (and written before training starts). Full agreed training fee due before training begins. Training is not eligible for the puppy payment plan.
-
Schedule: Training begins on a Monday. Pickup within one (1) day after program completion or $50/day late-pickup fee.
-
Refunds: No refunds once training starts, except documented puppy health issues that prevent participation, with veterinary verification.
- Seller may require a separate signed training agreement before training begins; if that agreement conflicts on a training-only topic after Buyer signs it, the training agreement controls for that topic.
10. Miscellaneous
-
Entire agreement. This Agreement is the entire understanding on this subject and supersedes prior negotiations and preliminary agreements.
-
Modification. Changes must be in a writing signed by both parties (including electronic signature as allowed below).
-
Waiver. A waiver of one breach is not a continuing waiver. Delay or course of dealing does not waive rights.
-
Attorneys’ fees. The non-defaulting party may recover reasonable costs and attorneys’ fees incurred in enforcing this Agreement, to the extent allowed by law.
-
Notice. Notice may be given by hand delivery, first-class mail, email, or private courier to the addresses/emails in this Agreement (or updated in writing). Notice is effective on receipt, or on the fifth day after mailing if sent by first-class mail.
-
Knowing & voluntary execution. Each party has read this Agreement, understands it (including payment plan, care fees, training, and breeding provisions), and signs voluntarily.
-
Construction. Construed as if both parties drafted it.
-
Counterparts; e-sign. May be signed in counterparts. Electronic signatures are valid under the Utah Uniform Electronic Transactions Act (Utah Code Ann. § 46-4-101 et seq.) and other applicable law. Drawing a signature, typing a name, or checking “I Agree” constitutes Buyer’s signature.
-
Right to refuse service. Seller may refuse service at any time, including refusing or terminating a payment plan or training program if terms are not met, before Closing or as otherwise allowed by this Agreement and law.
-
Severability. If a court finds any provision unenforceable, the rest remains in effect, and the unenforceable provision will be modified to the minimum extent needed to make it enforceable.
